Commercial Transactions
Our Corporate Transactions practice is often the anchor of our client relationships. In most cases, we serve as general counsel to our client, working as key business and legal advisors on all aspects of our clients' businesses. In the general counsel role, we often coordinate the services of other lawyers and professionals within our firm, as well as outside advisors with special expertise or experience that we identify to complement our own efforts on specific client challenges and opportunities. As the frequent hub of our client relationships, the Corporate Transactions work often intersects with other practice areas, such as real estate, employment, tax, and intellectual property, among many others.
Words are the language of the law, but numbers are the language of business, and we are equally conversant in both. We review business plans and assist early-stage, growth-oriented companies and private entrepreneurs in positioning their business model to increase the likelihood of raising debt or equity financing, or determining the optimal combination of both. We assist partners, key managers and financial backers in structuring ownership vehicles that maximize the probability of constructive, profitable, long-term relationships.
After creation or acquisition of new companies (be they corporations, limited liability companies, limited or general partnerships, or joint ventures), we then advise our clients, their management and their directors through all evolutionary phases of business development, growth, maturation, and exit. We often attend board meetings and provide strategic advice regarding financing, business, acquisition, executive compensation, intellectual property, and appropriate exit strategies. We understand how to assist clients in raising the additional capital required for growth and acquisition strategies. Our experience includes comprehensive services on the most complex corporate financing transactions. We assist companies with employment, tax, and all aspects of corporate governance and related risk management for officers and directors.
We also attend to both routine and extraordinary contractual matters for our clients, from reviewing a new vendor contract to advising on a major customer relationship. We are, first and foremost, deal makers - not deal breakers. We handle transactions for our clients carefully but expeditiously, and tailor our negotiating and drafting strategies to the needs of our client on a specific deal. We do not identify roadblocks without also, whenever possible, suggesting practical paths around the obstacles that stand in the way of consummating the transaction. We actively seek strategies that will allow our clients to close transactions and realize value for their businesses.
In our general counsel role, we endeavor to help owners, managers and directors conduct their businesses in a manner that avoids the need for litigation. When litigation is unavoidable, we facilitate the transition of a matter to our litigation attorneys, but remain involved to help guide the controversy to a resolution that makes business sense.
